End-User License Agreement

1. Acceptance of Terms

By accessing or using ERP Sync ("the Application"), you agree to be bound by this End-User License Agreement ("Agreement"). If you do not agree to these terms, do not use the Application.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your internal business purposes.

3. QuickBooks Online Integration

The Application integrates with Intuit QuickBooks Online ("QBO") to provide financial data synchronization and reporting services. By using this integration, you acknowledge and agree that:

  • You authorize ERP Sync to access your QBO company data on your behalf
  • You are responsible for maintaining the confidentiality of your QBO credentials
  • You will comply with Intuit's Terms of Service when using the QBO integration
  • You may revoke access at any time through your QBO account settings or the Application

4. Data Usage

We access your QuickBooks Online data solely to provide the services described in the Application. We do not sell, share, or use your financial data for any purpose other than delivering our services to you. Data handling is governed by our Privacy Policy.

5. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the Application
  • Use the Application for any unlawful purpose
  • Share your account credentials with unauthorized parties
  • Attempt to gain unauthorized access to other users' data
  • Use the Application in a manner that could damage or impair its functionality

6. Intellectual Property

The Application and its original content, features, and functionality are owned by ERP Sync and are protected by international copyright, trademark, and other intellectual property laws.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL ERP SYNC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE APPLICATION OR INTEGRATION WITH QUICKBOOKS ONLINE.

9. Termination

We may terminate or suspend your access to the Application immediately, without prior notice, for any breach of this Agreement. Upon termination, your right to use the Application will cease immediately, and we will delete your stored data in accordance with our Privacy Policy.

10. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify users of significant changes via email or through the Application. Your continued use after changes constitutes acceptance of the modified Agreement.
